Operational platform usage terms, customer responsibilities, and legal conditions for use of the DGAWatch platform.

Terms of Service

These Terms of Service (“Terms”) govern access to and use of the DGAWatch platform, website, applications, services, and related operational tools (collectively, the “Platform”) provided by DGAWatch (“DGAWatch”, “we”, “our”, or “us”).

By accessing or using the Platform, the customer organization and its authorized users (“Customer”, “you”, or “your”) agree to these Terms.

1. Platform Purpose

DGAWatch is a cloud-based operational workflow platform intended to support transformer oil sampling coordination, dissolved gas analysis (DGA) workflow management, laboratory coordination, engineering review workflows, and operational maintenance record organization.

The Platform is intended to assist operational coordination and record management activities within transformer maintenance and diagnostics programs.

2. No Engineering Services

DGAWatch is not:

  • a licensed engineering firm
  • a certified laboratory
  • a regulatory authority
  • a compliance certifier
  • a protection system authority
  • an operational decision-making authority

The Platform does not provide professional engineering services or replace:

  • qualified engineering judgment
  • certified laboratory interpretation
  • utility operational procedures
  • maintenance standards
  • protection engineering review
  • regulatory compliance obligations

Any operational, engineering, maintenance, protection, or asset management decisions made using information managed within the Platform remain solely the responsibility of the Customer.

3. Customer Responsibilities

Customers are responsible for:

  • maintaining the confidentiality of account credentials
  • managing user access permissions
  • reviewing operational records and uploaded reports
  • verifying engineering accuracy of uploaded information
  • ensuring compliance with internal operational procedures
  • maintaining compliance with applicable laws and regulations
  • evaluating operational and maintenance decisions independently

Customers are solely responsible for the interpretation and use of any reports, alerts, workflows, indicators, engineering reviews, or operational records managed within the Platform.

4. Account Access & Organizational Control

Access to the Platform is controlled through authenticated user accounts and organization-level permissions.

Customer administrators are responsible for:

  • approving authorized users
  • assigning user permissions
  • managing organizational access
  • removing unauthorized users when necessary

DGAWatch may suspend or restrict access to protect platform integrity, operational security, or compliance with these Terms.

5. Customer Data Ownership

Customer operational data remains the property of the Customer organization at all times.

This includes, but is not limited to:

  • transformer asset records
  • dissolved gas analysis histories
  • laboratory reports
  • operational maintenance records
  • engineering documentation
  • uploaded spreadsheets and files
  • workflow and operational history

DGAWatch does not claim ownership of Customer operational records.

6. License & Permitted Use

Subject to these Terms and any applicable agreement between DGAWatch and the Customer, DGAWatch grants the Customer a limited, non-exclusive, non-transferable right to access and use the Platform for internal operational purposes.

Customers may not:

  • resell or sublicense the Platform
  • reverse engineer the Platform
  • attempt unauthorized access
  • interfere with platform operation
  • use the Platform for unlawful activity
  • upload malicious or harmful content
  • attempt to bypass security protections

7. Uploaded Content & Operational Records

Customers are responsible for all uploaded content and operational records managed within the Platform.

Customers represent that they have appropriate authority and rights to upload operational information, reports, documents, and records into the Platform.

DGAWatch does not independently verify:

  • engineering accuracy
  • laboratory validity
  • regulatory sufficiency
  • operational correctness
  • maintenance recommendations
  • asset condition conclusions

8. Operational Availability

DGAWatch intends to maintain commercially reasonable platform availability and operational continuity.

However, the Platform may experience:

  • scheduled maintenance
  • infrastructure interruptions
  • service degradation
  • third-party outages
  • data synchronization delays
  • communication failures
  • operational interruptions beyond reasonable control

DGAWatch does not guarantee uninterrupted or error-free availability.

DGAWatch does not undertake or assume a duty to continuously monitor transformer conditions, laboratory activity, operational workflows, alerts, notifications, maintenance requirements, or asset health conditions.

9. Security & Access Controls

DGAWatch maintains operational, technical, and administrative safeguards intended to protect Customer operational information.

Security protections may include:

  • encrypted communication
  • protected authentication workflows
  • role-based access controls
  • session timeout protections
  • protected document storage
  • operational traceability controls

While DGAWatch maintains safeguards designed to protect operational records and customer information, no platform or cloud environment can guarantee absolute security.

10. Support Access

DGAWatch follows a customer-controlled support access model.

Support interactions may require temporary operational visibility or limited administrative access for purposes including:

  • troubleshooting
  • customer-requested support
  • operational issue investigation
  • workflow correction
  • platform maintenance

Support access is intended to operate under controlled authorization workflows where applicable.

11. Data Retention & Backups

DGAWatch may maintain backup, recovery, logging, and operational continuity systems intended to support platform resilience and operational recovery.

Deleted records may continue to exist temporarily within:

  • backup systems
  • infrastructure recovery systems
  • audit logs
  • operational continuity environments

DGAWatch does not guarantee immediate or irreversible deletion from all backup or infrastructure systems.

12. Confidentiality

DGAWatch will use commercially reasonable efforts to protect non-public Customer operational information from unauthorized disclosure.

Customers are responsible for ensuring that authorized users maintain confidentiality of operational records and account credentials.

13. Intellectual Property

The Platform, including its software, workflows, visual interfaces, operational systems, documentation, and related materials, remains the property of DGAWatch and its licensors.

These Terms do not transfer ownership of the Platform or related intellectual property to the Customer.

14. No Warranty

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.”

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DGAWATCH DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES RELATING TO:

  • uninterrupted availability
  • operational accuracy
  • completeness of records
  • engineering suitability
  • fitness for a particular purpose
  • maintenance outcomes
  • operational decision reliability
  • regulatory compliance
  • diagnostic interpretation accuracy

The Platform is intended to support operational workflow coordination and maintenance record management only.

DGAWatch does not guarantee:

  • transformer condition outcomes
  • operational reliability outcomes
  • asset performance outcomes
  • maintenance effectiveness
  • engineering correctness
  • laboratory accuracy
  • prevention of failures or outages

DGAWatch does not undertake or assume a duty to continuously monitor transformer conditions, laboratory activity, operational workflows, alerts, notifications, maintenance requirements, or asset health conditions.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DGAWATCH SHALL NOT BE LIABLE FOR:

  • indirect damages
  • incidental damages
  • consequential damages
  • special damages
  • punitive damages
  • loss of revenue
  • loss of profits
  • operational interruption
  • outage events
  • asset failures
  • maintenance outcomes
  • engineering decisions
  • regulatory actions
  • data loss
  • business interruption

DGAWatch’s total cumulative liability arising from the Platform or related services shall not exceed the amount paid by the Customer to DGAWatch during the twelve (12) months preceding the event giving rise to the claim.

16. Indemnification

Customers agree to defend, indemnify, and hold harmless DGAWatch and its affiliates, personnel, and representatives from claims arising from:

  • Customer operational decisions
  • uploaded content
  • misuse of the Platform
  • regulatory violations
  • engineering determinations
  • maintenance actions
  • unauthorized account access caused by Customer negligence

17. Regulatory & Compliance Clarification

Unless explicitly stated in a separate written agreement, DGAWatch does not represent or certify compliance with:

  • NERC/CIP
  • utility cybersecurity standards
  • engineering standards
  • governmental frameworks
  • export control regulations
  • operational retention mandates

References to operational practices, IEEE guidance, IEC guidance, or engineering workflows do not constitute compliance certification or regulatory approval.

18. Third-Party Services

The Platform may rely on third-party infrastructure and service providers necessary for platform operation.

DGAWatch is not responsible for interruptions, outages, failures, or security incidents caused by third-party infrastructure providers outside reasonable control.

19. Suspension & Termination

DGAWatch may suspend or terminate access to the Platform if:

  • these Terms are violated
  • platform security is threatened
  • unauthorized access is detected
  • payment obligations are not satisfied
  • unlawful activity is suspected

Customers may discontinue use of the Platform in accordance with applicable agreements.

20. Governing Law

These Terms shall be governed by and interpreted under the laws of the State of Texas, without regard to conflict of law principles.

Any disputes arising from these Terms or use of the Platform shall be subject to the jurisdiction of courts located in Texas unless otherwise specified in a separate written agreement.

21. Changes to These Terms

DGAWatch may update these Terms periodically to reflect operational, legal, platform, or security changes.

Updated versions will be published through the Platform website with a revised effective date.

Continued use of the Platform after updates constitutes acceptance of the revised Terms.
